Terms of Service

These Terms of Service ("Terms") govern your access to and use of the KaizenEdge AI website, products, and services (collectively, the "Service"). Please read them carefully. By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Service. We may update these Terms from time to time; continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

Eligibility & Account Responsibilities

You represent and warrant that you are at least 18 years of age and have the authority to enter into these Terms on behalf of yourself or the organization you represent. When creating an account, you must provide accurate, complete, and current information and keep it updated.

You are responsible for safeguarding your account credentials and for any activities that occur under your account. Notify us immediately of any unauthorized use of your account or any other breach of security.

Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not attempt to gain unauthorized access to any portion of the Service or to interfere with the proper functioning of our systems.

• Reverse engineer, decompile, or disassemble any part of the Service.
• Use automated systems or software to extract data from the Service without our prior written permission.
• Upload or transmit viruses, malware, or other harmful code.
• Use the Service in a manner that infringes on third-party intellectual property or privacy rights.

Your compliance for calls, messages, and candidate data

If you use features that contact job applicants or other individuals by voice, SMS, or similar means, you are solely responsible for obtaining and documenting any legally required consent, providing any required disclosures (including call recording or artificial voice notices where applicable), honoring opt-outs and do-not-contact obligations, and complying with applicable telecommunications, telemarketing, employment, and privacy laws. You represent that you have a lawful basis to upload or submit contact information and screening content into the Service. You must not use the Service to send spam, harass individuals, or contact numbers you do not have permission to reach.

AI-assisted screening

The Service may use automated and AI-assisted tools to conduct or support conversations, transcription, and summaries. Outputs may be incomplete or inaccurate. The Service is not legal, HR, or compliance advice. You are responsible for evaluating results and for hiring and employment decisions. We do not guarantee fairness, suitability for any regulated use case, or that outputs will meet your internal policies or regulatory requirements.

Professional Services & Statements of Work

Certain offerings, such as bespoke automations or AI system deployments, may require a separate Statement of Work ("SOW"). The SOW will specify deliverables, timelines, and commercial terms. In the event of a conflict between an SOW and these Terms, the SOW controls for that specific project; otherwise, these Terms remain in full force.

Payments & Billing

Fees for paid services will be disclosed prior to purchase and are due in accordance with the applicable order form or SOW. Unless otherwise specified, all payments are non-refundable. You authorize us to charge the payment method provided for all applicable fees.

You are responsible for any taxes associated with your purchase, excluding taxes based on our net income. Late payments may result in suspension or termination of access to the Service.

Intellectual Property

The Service, including all content, features, and functionality, is owned by KaizenEdge AI or our licensors and is protected by intellectual property laws. Except as expressly permitted in writing, you may not reproduce, distribute, modify, create derivative works, publicly display, or transmit any portion of the Service.

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes. All rights not expressly granted remain reserved.

As between you and KaizenEdge AI, you retain ownership of data, materials, and candidate-related content you submit to the Service ("Customer Content"). You grant us a non-exclusive, worldwide license to host, process, transmit, and display Customer Content only as reasonably necessary to provide, secure, and improve the Service and as described in our Privacy Policy. Upon termination, we will delete or return Customer Content in line with the functionality of the Service and our retention practices, except where we must retain copies to comply with law or enforce our agreements.

Confidentiality

In the course of working together, each party may disclose confidential information to the other. Both parties agree to protect such information using at least the same degree of care they use to protect their own confidential information, and not to disclose it to third parties except as required to perform the Service or as compelled by law.

Third-Party Services

The Service may integrate with or provide links to third-party tools and services (including voice, telephony, payments, analytics, and infrastructure providers). Your use of any third-party service is governed by the terms of the respective provider. We are not responsible for third-party services and make no representations about their content or performance. Availability of the Service may depend on those providers.

Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure, nor that any defects will be corrected.

Limitation of Liability

To the maximum extent permitted by law, KaizenEdge AI and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

Our total liability for claims arising from or related to the Service will not exceed the amount paid by you for the Service in the twelve (12) months preceding the event giving rise to the liability.

Indemnification

You agree to indemnify and hold harmless KaizenEdge AI, our affiliates, and our respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your violation of these Terms, your infringement of any rights of a third party, or your Customer Content or your use of calling, messaging, or screening features (including claims by applicants, regulators, or carriers).

Termination

We may suspend or terminate your access to the Service at any time if you breach these Terms or if we are required to do so by law. Upon termination, your right to use the Service will cease immediately, but any provisions that by their nature should survive termination will remain in effect.

Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Louisiana, United States, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms shall first be attempted to be resolved through good faith negotiations. If unresolved, the dispute shall be submitted to binding arbitration in Louisiana, unless both parties agree to another forum.

Changes to These Terms

We may revise these Terms at any time by posting the updated version on this page and updating the "Last updated" date above. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
